Terms of Service

These Terms govern your access to and use of MiraDesk (“MiraDesk”, “we”, “us”), the customer-support platform available at miradesk.live and its subdomains. By creating an account or using the service you agree to these Terms. If you do not agree, do not use MiraDesk.

1. The service

MiraDesk is a multi-tenant, software-as-a-service customer-support platform. It provides a unified inbox for email, chat, and tickets, an embeddable chat widget, help-center pages, and related tooling. We may add, change, or remove features over time.

2. Accounts & eligibility

You must provide accurate registration information and are responsible for activity under your account and for keeping your credentials secure. You must be at least 16 and able to form a binding contract. You are responsible for the agents and team members you invite to your workspace.

3. Acceptable use

You agree not to use MiraDesk to, or to permit anyone to:

  • send spam, unsolicited bulk email, marketing blasts, or any message to recipients who have not contacted you or consented to hear from you;
  • send content that is unlawful, fraudulent, deceptive, harassing, infringing, or harmful, or that contains malware;
  • violate the AWS Acceptable Use Policy or any anti-spam, data-protection, or other applicable law;
  • attempt to breach security, probe or scan systems, reverse-engineer the service, or circumvent usage limits;
  • resell or provide the service to third parties except as expressly permitted.

MiraDesk itself sends only transactional email on your behalf — support replies, agent notifications, and workspace invitations. You are responsible for ensuring your use of that email complies with the rules above. We may suspend sending or the account if we detect abuse, high bounce or complaint rates, or a risk to our email reputation or infrastructure.

4. Your content & responsibilities

You retain ownership of the data you and your end-users submit (“Customer Data”). You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the service. You are responsible for the Customer Data, for having a lawful basis to process it, and for honouring your end-users’ privacy rights. Our handling of personal data is described in our Privacy Policy.

5. Fees, trials & billing

Paid plans and any free trial are described at sign-up. Unless stated otherwise, fees are billed in advance on a recurring basis through our payment processor (Stripe) and are non-refundable except where required by law. If a trial is not converted or payment fails, we may pause or downgrade the account. We may change pricing on reasonable notice, effective at your next billing cycle.

6. Third-party services

MiraDesk relies on third-party providers (including AWS, Supabase, Vercel, Cloudflare, Stripe, and Groq) and may integrate with tools you choose to connect. Your use of those services is subject to their own terms, and we are not responsible for third-party services.

7. Intellectual property

MiraDesk and its software, design, and trademarks are owned by us and our licensors. Except for the rights expressly granted to use the service, no rights are transferred to you. Feedback you provide may be used by us without restriction.

8. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure.

9. Limitation of liability

To the maximum extent permitted by law, MiraDesk will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold MiraDesk harmless from claims, damages, and expenses arising out of your Customer Data, your use of the service, or your breach of these Terms or applicable law.

11. Suspension & termination

You may stop using the service and close your account at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or fail to pay. On termination, your right to use the service ends; we will make Customer Data available for export for a reasonable period, after which we may delete it as described in the Privacy Policy.

12. Governing law

These Terms are governed by the laws of Portugal, without regard to conflict-of-law rules, and the courts of Portugal have exclusive jurisdiction, unless mandatory local consumer law provides otherwise.

13. Changes to these Terms

We may update these Terms from time to time. Material changes take effect on the date we post them (reflected in the “Last updated” date), and, where appropriate, we will notify account holders. Continued use after changes means you accept the updated Terms.
